1. Introduction

These Terms of Use (the "Terms") govern your access to and use of the website at whylio.com, the Whylio mobile or web application, and any related features, content, or services (collectively, the "Service"). The Service is operated by WHALEMATES LAB PTE. LTD. (UEN 202620755G), a Singapore-incorporated company with registered office at 7500A BEACH ROAD, #08-318, THE PLAZA, SINGAPORE 199591 ("Whylio", "we", "us", or "our").

These Terms, together with our Privacy Policy and any additional policies expressly incorporated by reference, form a binding legal agreement between Whylio and:

the parent or legal guardian ("Parent", "you" or "your") who registers an account and pays for the Service on behalf of a child; a teacher, tutor, school, or institution using the Service under an approved account or separate arrangement; and/or the student authorised to use an account created for them (a "Student").

By creating an account, subscribing, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

NOTICE TO PARENTS: The Service is designed for preschool, primary, and secondary school students, with a focus on Singapore-aligned learning content while being accessible outside Singapore. For users under 18, the contracting party is the Parent, teacher, school, institution, or other adult account holder, and the Student is an authorised user under the Parent's account. Please review these Terms carefully -- they affect your and your child's legal rights.

2. The Service

2.1 What Whylio Provides

Whylio is an after-school learning platform on which Students can:

attempt curriculum-aligned practice questions and assignments; submit written answers and compositions for AI-assisted grading and feedback; receive AI-generated model essays, sample answers, and explanations for revision; track their progress over time.

The Service is intended for supplementary self-study and teacher-supported learning. It is not a replacement for school instruction, a registered tuition centre, or a qualified human teacher unless Whylio separately agrees to provide such services in writing.

2.2 The AI Assist Feature -- Important Limitations

A central feature of the Service is Whylio AI Assist, which uses artificial intelligence models to mark answers, give written feedback, and generate sample compositions. No human teacher reviews AI Assist outputs before they are shown to the Student.

You acknowledge and agree that:

  1. AI outputs may be wrong, incomplete, biased, or misleading. AI grading is not infallible. Marks, feedback, and model answers produced by AI Assist are provided for self-study reference only and do not represent the official position of the Singapore Ministry of Education ("MOE"), any school, or any examination board.
  2. AI is not a teacher. AI Assist does not understand a child's individual learning needs the way a qualified human teacher does. Parents are encouraged to supervise their child's use of the Service and to seek professional teaching support where needed.
  3. AI-generated model essays are study aids, not work to be submitted. See the Academic Integrity rules in Section 6.1.
  4. No guarantee of academic outcomes. Whylio does not guarantee any specific examination grade, school placement, or learning outcome.

2.3 Curriculum Alignment

Where the Service describes content as aligned with the Singapore MOE syllabus or any examination, this is provided in good faith based on publicly available information and is not endorsed by, sponsored by, or affiliated with the MOE, any school, or any examination authority.

2.4 Availability of the Service

We will use commercially reasonable efforts to keep the Service available, but we do not guarantee that the Service will be uninterrupted, error-free, or always accessible. The Service may be temporarily unavailable due to maintenance, upgrades, third-party outages (including AWS), or events outside our reasonable control. We may modify, suspend, or discontinue any part of the Service at our discretion, with reasonable notice where practicable.

3. Eligibility and Accounts

3.1 Age and Parental Consent

The Service is directed at children. Under the PDPA and the PDPC's Advisory Guidelines on the PDPA for Children's Personal Data in the Digital Environment:

Students under 18 years of age may not create their own account. A Parent, teacher, school, institution, or other authorised adult must create or approve the account and agree to these Terms. Where a Student is under 13, the Parent or legal guardian must provide consent for the collection, use, and disclosure of the child's personal data. Where a Student is aged 13 to 17, Whylio still requires an adult account holder because of the educational context, AI processing of student work, and payment relationship. Adults aged 18 and above may register and use the Service on their own behalf. If you are registering on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

We may, at our discretion, take reasonable steps to verify age, adult authority, and parental relationship, including requesting a parent's email, mobile number, payment card authorisation, school or teacher verification, or other reasonable proof.

3.2 Account Registration

To use most features of the Service, you must register an account and provide accurate, current, and complete information. The Parent is responsible for:

maintaining the confidentiality of the account credentials; all activity that occurs under the account, including activity by the Student;

promptly notifying us at support@whylio.com of any unauthorised access.

Parent accounts may cover multiple Students in the same household where the subscription or account configuration allows it. Teacher, tutor, school, or institutional use is permitted only under an approved account or separate written arrangement. You may not share account credentials beyond authorised users, sell access, or use the account for unauthorised commercial tutoring or classroom purposes.

3.3 Accuracy of Information

You agree to provide truthful information at registration and to keep it up to date. We may suspend or terminate accounts that contain false or misleading information.

3.4 Teacher, Tutor, School, and Institutional Accounts

Whylio may offer teacher, tutor, school, or institutional accounts. Such accounts may be subject to additional onboarding requirements, role permissions, subscription terms, and a separate written agreement. A teacher or institution that accesses Student submissions must use them only for authorised educational purposes and must comply with applicable privacy, safeguarding, and confidentiality obligations.

4. Subscriptions, Fees, Auto-Renewal and Refunds

4.1 Subscription Plans

The Service is offered on a paid subscription basis. The applicable fees, billing cycle (e.g. monthly or annually), and included features are displayed on whylio.com at the point of sign-up and form part of these Terms.

The current paid subscription offering is the Monthly Plan. Whylio does not currently offer a free trial, but may make selected free lessons available. Prices, included features, and any student limits are shown at checkout and may be updated from time to time.

4.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled through the account billing page or Stripe-hosted billing portal before the renewal is processed. By subscribing, you authorise Whylio and Stripe to charge your designated payment method for each renewal at the then-current rate.

We will:

send a renewal reminder by email at least 7 days before each renewal of an annual plan; send a receipt by email after each successful charge; allow you to cancel auto-renewal at any time in your account settings, with cancellation taking effect at the end of the current paid period.

4.3 Refund Policy

No General Refunds: Fees are generally non-refundable once charged, including for partial months, unused time, or failure to cancel before renewal. This does not limit any mandatory rights you may have under applicable consumer protection law, including where Whylio has materially failed to provide the Service or where a refund is required by law. Goodwill Refunds: Whylio may, at its discretion, approve a goodwill refund in exceptional cases, but doing so once does not require us to do so again. How to Request a Refund: Email support@whylio.com with your account email and reason. We will respond within 5 business days.

4.4 Price Changes

We may change subscription fees from time to time. Any price change will take effect only at the start of your next billing cycle, and we will give you at least 30 days' notice by email before the change takes effect. If you do not agree to the new price, you may cancel before it applies.

4.5 Taxes

Whylio is not currently GST-registered. Unless stated otherwise at checkout, fees are not subject to Singapore GST. If Whylio becomes GST-registered or if another indirect tax applies, the checkout page will state the applicable tax treatment.

4.6 Payment Processor

Payments are processed by third-party payment providers (such as Stripe). Your payment information is collected and handled by the provider under their own terms and privacy policy. Whylio does not store full card numbers.

5. Intellectual Property

5.1 Whylio's Rights

All content, software, designs, trademarks (including the names "Whylio" and " "), logos, and other materials provided as part of the Service are owned by Whylio or its licensors and are protected by Singapore and international intellectual property laws.

We grant you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for the personal, non-commercial educational use of the Parent and the Student named on the account, in accordance with these Terms.

5.2 Your Content

"Your Content" means any answers, compositions, photos of homework, voice recordings, messages, or other materials that the Student or Parent submits through the Service.

You retain ownership of Your Content. By submitting Your Content, you grant Whylio a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, process, and display Your Content solely to the extent necessary to provide and improve the Service to you, including:

transmitting Your Content to AI service providers for grading and feedback (see Section 7); displaying past submissions back to the Student in their account; generating aggregated, anonymised analytics about Service usage.

This licence ends when Your Content is deleted from our systems, except for retention required by law or for legitimate backup and audit purposes.

5.3 We Do Not Use Your Content to Train Third-Party AI Models

We do not sell Your Content, and we do not intentionally make Your Content available to third parties for the purpose of training their general-purpose AI models. Whylio does not use identifiable Student submissions to train or fine-tune Whylio models. Where provider settings or contractual options are available, Whylio will use reasonable efforts to disable or restrict third-party model training on customer content. Where Whylio uses content or usage information for internal product improvement, prompt improvement, rubric improvement, or analytics, we use aggregated or anonymised data where reasonably possible.

5.4 AI-Generated Output

AI Assist outputs (marks, feedback, model essays) generated for you are provided to you for your personal study use. You may keep, print, and share them with your Parent and teachers, but you may not republish, sell, or redistribute them as original work or as part of a commercial product.

6. Acceptable Use

6.1 Academic Integrity

The Service is a study aid. You agree that the Student will not:

submit AI-generated essays, answers, or solutions as the Student's own work to any school, examination board, or competition where this is prohibited;

use the Service in any way that violates the academic honesty policy of the Student's school or the MOE.

Whylio encourages students to use AI Assist to learn from feedback, not to bypass learning. We are not responsible for any disciplinary action taken by a school or examination authority arising from a Student's misuse of AI-generated content.

6.2 Prohibited Conduct

You agree that you will not, and will not permit any Student under your account to:

use the Service in violation of any Singapore law or any law of the user's jurisdiction; upload content that is unlawful, defamatory, obscene, sexually explicit, hateful, harassing, or harmful to children; attempt to manipulate the AI to produce unsafe, sexual, violent, or otherwise harmful content; impersonate any other person, including another student, parent, teacher, or Whylio staff; collect or harvest information about other users; reverse engineer, decompile, scrape, or attempt to extract the underlying AI models, prompts, datasets, or source code of the Service, except to the extent permitted by law; use bots, crawlers, or automated tools to access the Service without our prior written consent; introduce viruses or malicious code, or interfere with the security or integrity of the Service; resell, sublicense, or commercially exploit any part of the Service.

6.3 Reporting and Enforcement

You may report misuse to support@whylio.com . We may investigate and, in our reasonable discretion, suspend or terminate accounts, remove content, and cooperate with law enforcement to address violations.

7. Privacy, Personal Data, and Cross-Border Transfers

7.1 Privacy Policy

Our handling of personal data is described in detail in our Privacy Policy, which is incorporated into these Terms by reference. Please read it together with these Terms.

7.2 PDPA Compliance and Children's Data

Because the Service is designed for Student users under 18, we follow the higher standard of care recommended by the PDPC's Advisory Guidelines on Children's Personal Data, including:

data minimisation -- we collect only what is needed to operate the Service; age-appropriate disclosures -- our key notices are written so that a Singapore secondary school student can understand them; default privacy -- student profiles are not public or searchable by default; parental access and control -- Parents may, at any time, request to access, correct, or delete their child's personal data, or withdraw consent, by emailing dpo@whylio.com .

7.3 Cross-Border Data Transfer

Whylio uses Amazon Web Services ("AWS") in the ap-southeast-1 (Singapore) region to host the Service. Personal data may also be transmitted to AI service providers (see Section 8) which may process data in jurisdictions outside Singapore.

Where personal data is transferred out of Singapore, Whylio will take reasonable steps under section 26 of the PDPA to ensure that the recipient is bound by legally enforceable obligations to provide a standard of protection that is comparable to the PDPA. Details of overseas processors and the safeguards applied are set out in our Privacy Policy.

7.4 Data Breach Notification

In the event of a data breach affecting your or your child's personal data that is likely to result in significant harm, we will notify you and, where required, the PDPC, in accordance with the PDPA's data breach notification requirements. Where the affected user is a child, we will also endeavour to notify the Parent.

7.5 Data Protection Officer

You may contact our Data Protection Officer at dpo@whylio.com for any privacy-related question, request, or complaint.

8. Third-Party Services

The Service relies on certain third-party services, including AWS for hosting, Stripe for payment processing, email delivery providers, and AI or media providers such as OpenAI and ByteDance/Volcengine services including Seedance where applicable. Each of these third parties processes data subject to their own terms and privacy policies. We choose third parties that we reasonably believe meet appropriate security and privacy standards.

You acknowledge that:

the availability, security, and behaviour of third-party services are outside our direct control; where you click through to a third-party site or service, your interaction with it is governed by that third party's terms; we are not responsible for losses caused by third-party services beyond what is required by mandatory Singapore law.

9. Disclaimers

9.1 "As Is"

To the maximum extent permitted by Singapore law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free.

9.2 No Educational or Professional Advice

The Service does not provide professional educational, psychological, medical, legal, or financial advice. AI Assist outputs and any other content on the Service are for general study purposes only and must not be relied on as professional advice. Where a Student needs individualised support -- for example, for a learning difficulty, a special educational need, or a mental-health concern -- please consult a qualified professional.

9.3 Statutory Rights Preserved

Nothing in these Terms excludes or limits any rights that you have under the CPFTA, the Misrepresentation Act 1967, the Unfair Contract Terms Act 1977, or any other Singapore law that cannot lawfully be excluded.

10. Limitation of Liability

To the maximum extent permitted by Singapore law:

  1. Whylio and its officers, employees, contractors, and licensors will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, loss of opportunity, loss of data, or loss of goodwill, arising out of or in connection with the Service, even if we have been advised of the possibility of such loss.
  2. Whylio's total aggregate liability to you under or in connection with these Terms -- whether in contract, tort, statute, or otherwise -- shall not exceed the greater of (a) the total subscription fees paid by you to Whylio in the 12 months preceding the event giving rise to the claim, or (b) SGD 100.
  3. Nothing in this Section limits or excludes: (i) liability for death or personal injury caused by our negligence; (ii) liability for fraud or fraudulent misrepresentation; (iii) any liability that cannot be excluded or limited under Singapore law.

11. Indemnification

You agree to indemnify and hold harmless Whylio and its officers, employees, contractors, and licensors from and against any claims, losses, damages, liabilities, and reasonable legal fees arising out of or related to:

your or the Student's breach of these Terms; your or the Student's misuse of the Service, including submission of AI-generated content as original schoolwork in breach of Section 6.1; your infringement of any third party's rights, including intellectual property and privacy rights.

We will give you prompt notice of any claim and reasonable cooperation in its defence at your expense.

12. Termination

12.1 Termination by You

You may cancel your subscription and close your account at any time through your account settings or by emailing support@whylio.com . Cancellation takes effect at the end of the current paid period.

12.2 Termination by Us

We may suspend or terminate your account, with or without notice, if:

you materially breach these Terms (including Sections 3, 6, or non-payment); we are required to do so by law or court order;

continued provision is no longer commercially or technically feasible.

Where reasonably possible, we will give you advance notice and a chance to cure a breach.

12.3 Effect of Termination

On termination:

your right to access the Service ends; we will delete or anonymise personal data in accordance with our Privacy Policy and applicable law (note: certain backup or audit retention may apply); Sections 5 (Intellectual Property), 7 (Privacy), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law and Disputes) survive termination.

13. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide reasonable advance notice -- typically by email and an in-app banner -- at least 14 days before the change takes effect. The "Last Updated" date at the top of these Terms reflects the latest version. Continued use of the Service after the effective date of an updated version means you accept the updated Terms. If you do not agree, you must stop using the Service and may cancel under Section 12.1.

For Parents of children under 13, where a change materially expands the categories of personal data collected or the purposes for which it is used, we will obtain fresh parental consent before applying the change to your account.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of the Republic of Singapore, without regard to its conflict of laws rules.

14.2 Informal Resolution First

If you have a dispute or complaint, please first contact us at legal@whylio.com with the subject line "Dispute Notice", a description of the issue, and the resolution you are seeking. We will use reasonable efforts to resolve the matter within 30 business days of receipt.

14.3 Courts of Singapore

If the dispute is not resolved informally, you and Whylio submit to the exclusive jurisdiction of the courts of Singapore, including the Small Claims Tribunals where applicable.

14.4 Statutory Consumer Rights

Nothing in this Section 14 limits any non-waivable consumer right you have under Singapore law, including the right to bring proceedings in the Small Claims Tribunals where eligible.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any subscription order page, constitute the entire agreement between you and Whylio regarding the Service and supersede any prior agreements.

15.2 Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. Whylio may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of substantially all its assets, on notice to you.

15.3 No Waiver

A failure or delay by either party to enforce any provision is not a waiver of that provision.

15.4 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remainder will continue in full force and effect.

15.5 Force Majeure

Neither party is liable for any failure or delay caused by events beyond its reasonable control, including acts of God, war, civil unrest, pandemic, government action, internet or AWS outages, or third-party AI provider outages.

15.6 No Third-Party Rights (Contracts (Rights of Third Parties) Act 2001)

A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any term of these Terms, except that an enrolled Student under a Parent's account is intended to be bound by Sections 6 (Acceptable Use) and 7 (Privacy).

15.7 Language

These Terms are written in English. Any Chinese ( ) or other language version is provided for the convenience of Parents and Students; in the event of any conflict, the English version prevails.

15.8 Notices

We may give you notices by email to the address on your account or by in-app notification. You may give us notices at the email addresses below.
